1. Studio reservation and Agreement Procedure

1.1. Fireframe space reservation and confirmation

A tentative space reservation between the Client and Fireframe Oy (Fireframe) (individually referred to as a Party and collectively referred to as Parties) can be made for a fixed period without a commitment.

The Reservation can be confirmed by email or otherwise in writing. Following the reservation confirmation, the terms relating to cancellation as well as other General Terms and Conditions (the Terms) are applicable. All reservation fees and deposits are due upon the submission of the reservation confirmation. Failure to pay any sums due results in the cancellation of the reservation. If the Client cancels the production or event or reschedules the production or event, Fireframe will not refund the deposit. Terms for cancellation or delay of production are stated below in section 1.3 “Cancellation”.

1.2. The Agreement

Once Fireframe receives the reservation confirmation, Fireframe and the Client enter into a service agreement, wherein the invoicing and contact information of the Client, offered services and rented space, the rental period, the event production schedule, and other services required by the Client, are detailed. Only the Client contact persons mentioned in the agreement can renegotiate the Agreement.

The Agreement must be signed. The Agreement is bilateral and cannot be assigned to a third party without Fireframe’s advanced written approval. Any amendments to the Agreement must be made in writing by and between Fireframe representatives as stated in the Agreement. Any handwritten additions to the Agreement are null and void. All extra orders must be done to Fireframe Administrative Lead or Fireframe Producer in writing or email.

1.3. Cancellation

If the Client cancels this event, the Client is liable to pay a cancellation fee in accordance with the following schedule:

– Cancellation 30 days or 15 days before the event: 50% of the total price.
– Cancellation 14 days or less before the event: 100% of the total price.

This cancellation policy is used unless there is something else confirmed in the Agreement of this event.

1.4. Order of validity of the document

1. The Agreement
2. Confirmation of the offer in written (e-mail)
3. Fireframe Offer or calculated estimated costs

1.5. VAT

Valid Finnish VAT of the date of the event is added to all Fireframe prices.

2. General

Fireframe will insure the Studios and Equipment against all normal insurable risks but not further or otherwise.

These Conditions constitute the entire contract and may not be varied otherwise than in writing signed by a duly authorised signatory on behalf of Fireframe.

Nothing in these Conditions is intended to exclude, restrict or modify liability on the part of Fireframe resulting from negligence or otherwise unless permitted by Statute.

3. Intellectual property and data protection

3.1. Both parties acknowledge and agree that copyright in underlying materials processed by Fireframe in the performance of its services and/or embodied in materials produced by Fireframe may be owned by third parties and that the use by the Client of all materials processed and/or produced by Fireframe shall be subject always to the Client obtaining any and all necessary licences and consents from the relevant underlying rights owner(s). The terms for Fireframe to use materials processed and/or produced by Fireframe on the Client’s behalf to promote Fireframe’s business and in connection with appropriate industry awards is agreed on the Agreement.

3.2. Without limitation to the rights of Fireframe at law, the Client acknowledges and agrees that if, in the course of fulfilling the Client’s order and/or processing or producing materials on behalf of the Client, Fireframe discovers or devises any techniques or know how, all rights of every kind in and to such techniques and know how, shall vest absolutely in Fireframe.

4. Client use of Fireframe’s Premises and Equipment

4.1. The Client hereby undertakes to Fireframe to ensure that all of its personnel (to include all employees and agents of the Client) that shall at any time have access to any premises occupied by Fireframe or at which any of Fireframe’s equipment shall be kept all such persons shall at all times:

4.1.1. observe all rules and regulations in force at the applicable premises to include health and safety regulations and any rules governing the use of equipment and/or facilities at the applicable premises;

4.1.2. keep confidential and not divulge or communicate or make any use of any confidential information (being any and all information which relates to and/or concerns the business or activities of Fireframe and/or any Client of Fireframe) which the applicable person shall become aware of as a result of being present at the applicable premises.

4.2. The Client shall indemnify Fireframe from and against all actions, claims, costs, charges, expenses and proceedings arising from or incurred by reason of any breach or non-observance of any provision of condition by any of the Client’s personnel.

5. Insolvency

If the Client shall become bankrupt or shall be deemed to be unable to pay its debts or compounds with its creditors or in the event of a resolution being passed or proceedings commenced for the administration or liquidation of the Client (other than for a voluntary winding up for the purpose of reconstruction or amalgamation) or if a Receiver or Manager or Administrative Receiver is appointed of all or any part of its assets or undertaking, Fireframe shall be entitled to cancel the contract in whole or in part by notice in writing without prejudice to any right or remedy accrued or accruing to Fireframe.

6. Force Majeure

In the event of the performance of any obligation accepted by Fireframe being prevented, delayed, or in any way interfered with by any act of government, war, industrial dispute, strike, breakdown of machinery or equipment, accident, fire or by any other cause beyond Fireframe’s control, Fireframe may at its option suspend performance or cancel its obligations under the contract without liability for any damage or consequential loss resulting there from, such suspension or cancellation being without prejudice to Fireframe’s right to recover all sums owing to it in respect of goods delivered and costs incurred up to the date of the suspension or cancellation.

7. Sub-Contractors

Fireframe shall be entitled to appoint one or more sub-contractors to carry out all or any of its obligations under any contract between Fireframe and the Client.

8. Applicable Law

a) These Conditions shall be read and construed in accordance with the Laws of Finland excluding its choice of law rules.

b) Any dispute, controversy or claim arising out of or in connection with this Agreement or the transactions contemplated herein, or the breach, termination or validity thereof shall be finally and exclusively settled by District Court of Helsinki.
